Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Smart AI Creator Center and related Smart AI services. By creating an account, accessing the service, purchasing a subscription or credits, connecting a wallet, generating content, publishing content, or using on-chain functions, the user agrees to these Terms.
1. Service Description
Smart AI provides AI-assisted digital content creation and content assetization tools. Depending on product availability, the service may support image, video, audio, music, script and other content generation; content editing and publication; creator profiles and discovery; NFT or other on-chain asset presentation; creator incentives; subscriptions and credits; and content circulation or decentralized market integrations.
Features may be introduced, modified, suspended or discontinued as the platform evolves. Availability may differ by jurisdiction, account type, device, blockchain network or technical environment.
2. Eligibility and Accounts
Users must have legal capacity to enter into these Terms and must comply with applicable age requirements. Users are responsible for maintaining accurate account information and safeguarding login credentials, wallets, private keys and recovery information. Smart AI will not ask users to disclose a wallet private key or seed phrase.
Users are responsible for activity performed through their accounts or connected wallets unless applicable law provides otherwise.
3. AI Generation and Creator Content
Users retain rights they lawfully hold in content they submit to the service. Users grant Smart AI a limited, non-exclusive license to host, process, reproduce, transform and display submitted content only as reasonably necessary to provide, secure, operate and improve the service, subject to applicable privacy settings and notices.
Subject to applicable law, third-party rights and any model- or feature-specific terms, users may use generated outputs in accordance with the rights granted by the applicable Smart AI service. AI-generated outputs may not be unique, and similar or identical outputs may be generated for other users.
Smart AI does not guarantee that generated content is eligible for copyright, trademark, patent or other intellectual property protection in any jurisdiction.
4. User Responsibilities and Prohibited Conduct
Users must ensure that they have all necessary rights, permissions and lawful bases for content submitted to the service. Users must not use Smart AI to:
Infringe or misappropriate copyright, trademark, privacy, publicity or other rights of any person.
Upload or distribute unlawful, fraudulent, malicious or unauthorized content.
Impersonate others, misrepresent ownership or provenance, or falsely claim authorship of third-party works.
Circumvent security, access controls, rate limits, payment systems or technical restrictions.
Introduce malware, exploit vulnerabilities, disrupt infrastructure or interfere with other users.
Manipulate markets, engage in deceptive trading activity, or use platform functionality in violation of applicable financial, sanctions or anti-money-laundering laws.
Use the service for any activity prohibited by applicable law or additional platform policies.
5. Publication, NFTs and Content Assetization
Where the service permits content to be published, minted, represented or associated with an NFT or other blockchain asset, the user is solely responsible for confirming that the user has the rights required to create, tokenize, publish, transfer or commercially exploit that content.
Blockchain actions may be irreversible. Gas fees, network fees, smart-contract execution, wallet approvals and third-party protocol interactions may be outside Smart AI’s control. Smart AI does not guarantee the market value, liquidity, resale price, availability or profitability of any NFT, token or other digital asset.
6. Creator Incentives and Ecosystem Rewards
Smart AI may offer creator incentives, promotional rewards, referral benefits, rankings, campaigns or other ecosystem programs. Eligibility, calculation methods, distribution schedules, limits and termination conditions may be governed by separate program rules. Smart AI may modify or discontinue such programs in accordance with those rules and applicable law.
Creator incentives are intended to support ecosystem participation and do not constitute a guarantee of income, investment return or future value.
7. SAIT and Digital Assets
SAIT may be used within the Smart AI ecosystem for supported utility functions such as accessing platform services, AI creation pricing, creator incentives, content-related interactions or governance-related functionality, as made available from time to time.
Nothing in these Terms constitutes investment, financial, legal or tax advice, an offer of securities, or a guarantee regarding the price, liquidity or future value of SAIT or any other digital asset. Users are responsible for understanding applicable laws and risks before engaging in blockchain or digital-asset activities.
8. Subscriptions, Credits and Payments
Certain AI generation or platform functions may require a paid subscription or credits. Subscription plans may be offered on monthly or annual terms and may include a specified quantity of credits. Generation activities may consume credits according to the applicable pricing displayed at the time of use.
Credits are platform usage units unless expressly stated otherwise. They are not bank deposits, legal tender or investment products and are not redeemable for cash except where required by law or expressly provided by Smart AI.
Prices, credit consumption rates, renewal terms and applicable taxes will be displayed through the relevant purchase interface. Users are responsible for reviewing the applicable terms before purchase. Refunds and cancellations are handled according to the purchase interface, applicable refund policy and mandatory consumer law.
9. Third-Party Services
The service may integrate third-party wallets, blockchains, smart contracts, decentralized exchanges, payment providers, AI models, storage systems or other services. Smart AI is not responsible for the independent operation, security, availability, policies or acts of third-party services. Users should review applicable third-party terms before using them.
10. Intellectual Property of the Platform
Smart AI and its licensors retain all rights in the platform software, interface, branding, documentation, proprietary models, platform designs and other materials owned by Smart AI, excluding user content and third-party materials. No rights are granted except as expressly stated in these Terms.
11. Content Moderation and Enforcement
Smart AI may investigate suspected violations and may remove or restrict content, suspend features, limit access or terminate accounts where reasonably necessary to enforce these Terms, protect users or the service, comply with law, or respond to valid rights-holder complaints. Where appropriate and legally required, users may be provided notice or an opportunity to appeal.
12. Service Availability and Changes
AI systems, blockchain networks and third-party infrastructure may experience delays, outages, errors or changes. Smart AI does not guarantee uninterrupted or error-free operation. Maintenance, upgrades, security events, network congestion or external service failures may temporarily affect functionality.
13. Disclaimers
To the maximum extent permitted by applicable law, the service is provided on an “as is” and “as available” basis. Smart AI disclaims warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
AI outputs may contain inaccuracies, artifacts or unintended similarities. Users are responsible for reviewing generated content before publication, commercial use or on-chain assetization.
14. Limitation of Liability
To the maximum extent permitted by applicable law, Smart AI and its affiliates, officers, employees and service providers will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, data, goodwill, digital assets or business opportunities arising from use of the service. Any aggregate liability limitation should be finalized by legal counsel based on the operator’s jurisdiction and consumer-law obligations.
15. Indemnification
To the extent permitted by law, users agree to indemnify and hold harmless Smart AI and its affiliates from claims, losses and reasonable costs arising from the user’s unlawful content, infringement of third-party rights, misuse of the service or material breach of these Terms.
16. Suspension and Termination
Users may stop using the service at any time. Smart AI may suspend or terminate access for material violations, fraud, security threats, legal requirements, non-payment or other grounds permitted by these Terms and applicable law. Termination does not reverse completed blockchain transactions.
17. Changes to these Terms
Smart AI may revise these Terms as the service, legal requirements or business practices change. Material revisions will be communicated through appropriate channels. Continued use after revised Terms become effective constitutes acceptance where permitted by law.
18. Governing Law and Dispute Resolution
The governing law, forum and dispute resolution provisions must be completed based on the legal entity operating Smart AI and the jurisdictions in which the service is offered. Before publication, legal counsel should insert the applicable governing law, courts or arbitration mechanism, consumer-law carve-outs and any mandatory dispute notices.
